In accordance with the Procedure for the competitive selection of an independent director for the Board of Directors of joint-stock companies whose sole shareholder is the Ministry of Industry and Construction of the Republic of Kazakhstan*, approved by the order of the Acting Minister of Industry and Construction of the Republic of Kazakhstan dated January 13, 2025 No. 11, the Ministry of Industry and Construction of the Republic of Kazakhstan announces a competitive selection of an independent director for the Board of Directors of the joint-stock company "National Company "Kazakhstan Engineering" (hereinafter referred to as the Company).

The Company was established in accordance with the Resolution of the Government of the Republic of Kazakhstan dated March 13, 2003 No. 244 "On Certain Issues of the Defense Industrial Complex of the Republic of Kazakhstan" in order to improve the management system of the defense industrial complex of the Republic of Kazakhstan by including defense industry enterprises in the Holding.

The Company is a holding structure designed to ensure a unified financial, production and technological policy at machine-building enterprises specializing in the production of civilian and special products, as well as dual-use products.

Qualification requirements for an independent director:

1. A candidate for election to the Board of Directors of the Company as an independent director must meet the following qualification requirements:

1) is not an affiliate of the Company and has not been one for three years preceding his election to the Board of Directors (except for the case of his holding the position of an independent director of the Company);

2) is not affiliated with affiliates of the Company;

3) is not subordinate to officials of the Company or organizations that are affiliates of the Company and has not been subordinate to these persons for three years preceding his election to the Board of Directors;

4) is not a civil servant;

5) is not a representative of the Sole Shareholder at meetings of the bodies of this Company and has not been one for three years preceding his election to the Board of Directors;

6) does not participate in the audit of the Company as an auditor working as part of an audit organization and has not participated in such an audit for three years preceding his election to the Board of Directors;

7) must be at least thirty-five years old;

8) must have higher education and/or a master's degree or additional education in the field of management;

9) must have at least five years of experience in the specialty in areas corresponding to the functional areas of the Company or related industries and/or at least three years as a member of the Board of Directors.

2. A person cannot be a candidate for independent director if he or she falls under one or several of the following points:

1) previously held the position of Chairman of the Board of Directors, First Director (Chairman of the Management Board), Deputy Director, Chief Accountant of another legal entity for a period of no more than one year prior to the decision on compulsory liquidation, or compulsory redemption of shares, or conservation of another legal entity declared bankrupt in accordance with the established procedure. This requirement applies for five years after the date of the decision on compulsory liquidation, or compulsory redemption of shares, or conservation of another legal entity declared bankrupt in accordance with the established procedure;

2) has an outstanding or unexpunged criminal record, or has been released from criminal liability in accordance with the procedure established by the laws of the Republic of Kazakhstan and other countries;

3) is an official or employee of a competing organization;

4) is discredited and (or) disqualified as a member of the board of directors in any country by a decision of the relevant authorized body.
