Joint Stock Company “National Company “Kazakhstan Engineering” (hereinafter referred to as the Company) announces an electronic tender for the sale of 100% (one hundred percent) of common shares of JSC “811 Automobile Repair Plant KI”, which will begin on May 30, 2023 at 12:00 (Astana time) on the web portal of the State Property Register www.gosreestr.kz (hereinafter referred to as the Web Portal).
The sale is carried out in accordance with the Rules for the sale, restructuring of assets of NC Kazakhstan Engineering JSC, approved by the decision of the Board of Directors of the Company dated October 15, 2018 (minutes No. 6) and the Regulations for conducting electronic auctions for the sale of property on the web portal of the state property register, approved decision of the Board of Directors of Information and Accounting Center JSC (Minutes No. 66 dated May 23, 2014) (hereinafter referred to as the Regulations).
The following are submitted for the electronic competition:
Name of the Asset: 100% (one hundred percent) of ordinary shares of JSC 811 Automobile Repair Plant KI (hereinafter referred to as the Asset and the Company).
Asset Owner: Joint Stock Company “National Company “Kazakhstan Engineering”.
Types of activities of the Company:
- production of military combat vehicles;
- production of other special purpose vehicles;
- maintenance and repair of motor vehicles;
- repair and maintenance of other machines and equipment for special purposes;
- production of industrial gases;
- production of weapons and ammunition;
- repair of firearms and artillery pieces.
Location of the Company: Republic of Kazakhstan, Akmola region, Yereymentau district, city of Yereymentau, st. Stone quarry, 2/63.
Starting price of the Asset: 288,415,675 (two hundred eighty eight million four hundred fifteen thousand six hundred seventy five) tenge.
Special conditions for the sale of the Asset:
1) maintaining the profile of activity (specialization) of JSC "811 Automobile Repair Plant KI";
2) maintaining the entire staff of JSC "811 Automobile Repair Plant KI", which are citizens of the Republic of Kazakhstan;
3) preservation or creation of new jobs in JSC "811 Automobile Repair Plant KI";
4) repayment of accounts payable of 811 Automobile Repair Plant KI JSC to NC Kazakhstan Engineering JSC for the payment of the principal debt on the loan, interest on the loan, fine (penalty, forfeit), dividends and other debts within 6 (six) calendar months from the date of conclusion of the contract for the sale of the Asset;
5) restriction on transactions (resale, pledge, transfer to management and others) and (or) prohibition of certain actions in relation to the Asset within 12 (twelve) calendar months after the transfer of ownership to the buyer.
An installment plan is allowed within 6 (six) calendar months from the date of conclusion of the Asset purchase and sale agreement. The amount of the down payment is not less than 30% (thirty percent) of the purchase price, which is paid within 10 (ten) calendar days from the date of conclusion of the Asset sale and purchase agreement. When making subsequent amounts, for amounts not yet paid, the seller (Company) accrues interest based on the base rate of the National Bank of the Republic of Kazakhstan on the date of actual payment.
If the Web Portal recognizes the electronic tender for the sale of the Asset as valid, then no later than the period specified in the protocol of the results of electronic trading between the Seller (Company) and the Buyer (winner of the electronic tender for the sale of the Asset), the contract placed by the Seller (Company) on the Web Portal is concluded purchase and sale of ordinary shares of Joint Stock Company 811 Automobile Repair Plant KI with the attached payment schedule for the Purchase Price of the Asset and the schedule for repayment of the Company's accounts payable to the Company.
Registration of participants in the electronic competition is carried out on the web portal of the registry from the date of publication of the notice on the web portal of the registry and ends two hours before the start of the electronic competition.

A guarantee fee in the amount of 43,262,352 (forty-three million, two hundred sixty-two thousand, three hundred and fifty-two) tenge is paid to the account of Information and Accounting Center JSC: BIN: 050540004455, Halyk Bank of Kazakhstan JSC: KZ946017111000000330; BIC: HSBKKZKX. Purpose of payment: guarantee fee for participation in the electronic competition (payment of banking services is not included in the amount of the guarantee fee). A bank guarantee is not accepted as a guarantee fee.
For the purpose of timely receipt of guarantee fees to the account of Information and Accounting Center JSC, it is recommended to pay the guarantee fee no later than three days before the deadline for accepting applications.
If the participant who won the electronic tender does not sign the protocol on the results of the auction, the guarantee fee is not returned by the seller.
The protocol on the results of the auction is a document fixing the results of the electronic tender and the obligations of the winner and the seller to sign the contract for the sale of the Asset at the sale price.
